1. Acceptance

By creating an account or using Agentwell, you agree to these Terms. If you are using Agentwell on behalf of an organization, you represent that you have authority to bind that organization.

2. The Service

Agentwell is an observability and reliability platform for AI agents running in production. You send us execution traces — spans, tool calls, token counts, and cost metadata — via our SDK or OpenTelemetry. We run deterministic detectors against that telemetry to surface failures such as loops, hangs, cost spikes, and scope or policy violations, and we alert your team when something looks wrong. Agentwell is a software platform; we are not your employee, agent of record, or fiduciary.

3. Observe-only operation

Agentwell observes and alerts. It does not sit in the critical path of your agents and never blocks, stops, pauses, or modifies your agents or their actions. You remain solely responsible for the operation, behavior, and outputs of your own agents. Any decision to act on an alert — including pausing or shutting down your systems — is yours to make and execute.

4. Best-effort detection

Our detectors are best-effort. Agentwell does not guarantee that every failure, anomaly, or incident will be detected, that every alert will be timely or accurate, or that alerts are free of false positives. Detection quality depends on the completeness and correctness of the telemetry you send. Agentwell is a monitoring aid and is not a substitute for your own testing, review, and operational controls.

5. Acceptable use

No attempts to extract model weights or reverse engineer the service, no probing or disrupting the platform, no unauthorized access to other tenants' data, and no use that violates third-party rights or applicable law. You are responsible for ensuring you have the right to send us the telemetry you transmit and that it does not contain data you are not permitted to share.

6. Billing

Subscriptions renew automatically at the cadence you select. You can cancel anytime in-app; cancellation takes effect at the end of the current billing period. Annual plans are non-refundable except where required by law.

7. Termination

We may suspend or terminate accounts for material breach of these Terms. On termination, you may export your data for 30 days.

8. Disclaimers

The service is provided “as is.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranty that the service will detect every failure or that alerts will be complete, accurate, or timely. We are not liable for outcomes, lost revenue, or consequential damages arising from undetected incidents, missed or delayed alerts, or your reliance on the service.

9. Limitation of liability

Our aggregate liability for any claim arising out of these Terms is capped at the amounts you paid us in the 12 months preceding the claim.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Venue lies exclusively in Travis County, Texas.
